I. GENERAL POLICY ON AGENCY DEVELOPMENT

– Commitment to maximum protection for agents before market fluctuations and competition

II. FINANCIAL POLICY:

1. Periodic purchase discount (applicable to some products):
– Based on quarterly sales commitments, agents will be able to participate in the discount program on purchase sales reserved for agents of Limota.
– When reaching the committed sales volume, the agent will be entitled to an agreed rate discount from the beginning of the quarter.
– This discount policy is independent and conducted in parallel with other business support or promotion programs from Mai Khue Joint Stock Company to agents.

2. Price policy, price protection:
2.1. Purchase price:
– Based on the purchase results and other cooperation commitments, the dealer will be entitled to the price policy for the respective dealer level.
– Price policy is built to ensure the competitiveness and maximum profit for agents in the market.
2.2. Price protection:
– In case the manufacturer or Mai Khue Joint Stock Company reduces the selling price, the agent is protected the price for the same kind of goods in stock.
– The price protection is only applicable to items with invoices entered within 30 days from the notice of price reduction.

3. Principle contract and debt:
3.1. Contract principles:
– After the two parties signed the contract, agents will be included in the preferential list of Mai Khue joint stock company, enjoy the policies for agents of Mai Khue joint stock company.
3.2. Purchase debt:
– Agents after signing an HDT with agreed terms.
– On that basis, the agent will be entitled to a credit limit with a maximum term of 30 days.
– On the basis of cooperation results and payment history (on time), agents will enjoy better preferential rates on credit and debt policies.

III. SUPPORTING POLICIES:

1. Support for PR – Marketing:
1.1. Agents are supported with Google Ads, Facebook, Zalo, catalogs, leaflets, banners, diversified customer access channels … according to programs of Mai Khue joint stock company and manufacturer or manufacturer representatives. .
1.2. Agents are allowed to participate in all promotions and sales promotion of Mai Khue Joint Stock Company and the exclusive distributor of the manufacturer.
1.3. Agents are able to update information about prices, information on goods, products, policies and distributors, marketing programs, sales promotion materials.

2. Technical support and solutions:
2.1. The agent is provided with technical support via phone / email / chat. Technical support will be in place directly upon request.
2.2. When participating in the bid and the project, the agent will be consulted and supported by Mai Khue joint stock company about project information, solutions and techniques if required.

3. Support for goods:
3.1. Exchange of goods: Within 7 days from the date of invoice, the Agent will be renewed if the product is determined by the manufacturer’s fault.
3.2. Returns: In case of goods, prices are not in accordance with the purchase agreement, the agent has the right to return the goods to Mai Khue joint stock company. Deliveries are made within 30 days from the date of invoice and signed the goods handover minutes.
3.3. For liabilities, agents have the right to exchange / return goods according to the general policy. Does not incur any costs (except shipping fees – if any)

V. REQUIREMENTS FOR YOUR AGENT:

1. Display products of Mai Khue joint stock company (with desired products) at the store (if any)
2. Support Mai Khue joint stock company when having promotions and advertising programs taking place at dealers’ business points.
3. Do not trade other products (of the same type) outside the channel
4. The price for the end customer is equivalent to the recommended retail price of the exclusive distributor or manufacturer. No dumping.
